It is the duty of the Board of Directors of HSN, Inc. to serve as a prudent fiduciary for shareholders and to oversee the management of the Company's business. Implicit in this philosophy is the importance of sound corporate governance. James Follo

Director


James Follo is Chairman of the Audit Committee. Since January 2007, Mr. Follo has served as Senior Vice President and Chief Financial Officer of The New York Times Company. From July 1998 through March 2006, Mr. Follo served in various senior financial management positions at Martha Stewart Living Omnimedia, Inc., most recently as Chief Financial and Administrative Officer.
